Please read these Terms of Service (“Terms”) carefully before using the UIGuard website and services operated by UIGuard (“us,” “we,” or “our”).
Your access to and use of the Service is conditioned on your acceptance of and compliance with these Terms. These Terms apply to all visitors, users, and others who access or use the Service.
1. Acceptance of Terms
By accessing or using the Service, you agree to be bound by these Terms. If you disagree with any part of the terms, then you may not access the Service.
2. Description of Service
UIGuard provides a visual regression testing platform that allows developers to capture screenshots, compare UI changes, and integrate with CI/CD workflows. We reserve the right to modify, suspend, or discontinue any part of the Service at any time.
3. Accounts and Team Management
- Account Security: You are responsible for maintaining the confidentiality of your account credentials. You agree to accept responsibility for all activities that occur under your account.
- Team Access (Collaborators): UIGuard allows you to invite team members (“Collaborators”) to your projects.
- Owner Responsibility: As the Project Owner, you are financially and legally responsible for all usage quotas (screenshots, storage) consumed by your invited Collaborators. All activities performed by your team members count against your subscription limits.
4. Subscriptions, Billing, and Cancellation
- Subscription Plans: The Service is billed on a subscription basis (Monthly or Yearly). You will be billed in advance on a recurring and periodic basis (“Billing Cycle”).
- Payments: All payments are processed securely via Stripe. We do not store your payment information.
- Cancellation: You may cancel your subscription at any time via your account dashboard. Your cancellation will take effect at the end of the current Billing Cycle.
- No Refunds: ALL PAYMENTS ARE NON-REFUNDABLE. Since UIGuard offers a comprehensive Free Starter Plan for evaluation, we do not provide refunds or credits for any partial subscription periods or unused service.
5. Usage Limits and Fair Use
- You agree not to misuse the Service or help anyone else to do so.
- You must not use the Service to test websites that are illegal, harmful, or violate the rights of others.
- We reserve the right to throttle or suspend your account if your usage significantly exceeds the average usage of other customers (though our hard limits usually prevent this).
6. Intellectual Property
- Your Content: You retain ownership of all screenshots and data you upload or generate using UIGuard. We claim no intellectual property rights over the material you provide to the Service.
- Our IP: The Service and its original content (excluding Content provided by users), features, and functionality are and will remain the exclusive property of UIGuard.
7. Limitation of Liability
In no event shall UIGuard, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:
- Your access to or use of or inability to access or use the Service;
- Any conduct or content of any third party on the Service;
- Any unauthorized access, use, or alteration of your transmissions or content.
8. Governing Law
These Terms shall be governed and construed in accordance with the laws of Japan, without regard to its conflict of law provisions. Any dispute arising from or relating to the subject matter of these Terms shall be subject to the exclusive jurisdiction of the Tokyo District Court (or the court having jurisdiction over the location of UIGuard’s headquarters).
9. Changes to Terms
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days’ notice prior to any new terms taking effect.
